BOARD OF TRUSTEES SERVICE AGREEMENT
The primary role of the Board of Trustees of the Rocky Neck Art Colony, Inc. is to assure that the initiatives, activities, programs, and investments undertaken by the Art Colony are in accord with its mission as stated in its most recently amended by-laws. To accomplish this, the Board will assist in establishing the strategic direction of the Rocky Neck Art Colony, work to improve its financial position and steward its assets.
Specific Board Member Commitments and Responsibilities
- All Board Members commit to attend meetings of the Board and to be available for consultation by phone and e-mail. In addition, Board members elected by the Board will lend their special skills and experience to the administration of the Art Colony in the status of advisors.
- Board Members are responsible for participating in the fiscal oversight of the Art Colony and will take part in reviewing and approving annual budget and monitoring Art Colony activities in light of that budget. To accomplish its mission, the Board may establish either ad hoc or standing sub-committees of itself.
- Board Members will be ambassadors for the Rocky Neck Art Colony and will positively represent the Art Colony in their professional and social lives.
- Board members will keep Board activities confidential when so designated by a vote of the Trustees. Board Members, in their roles as such, will not attempt individually to influence administrative decision making except when authorized to do so by the Board.
- In bringing new members onto the Board, members should seek candidates of diverse skills and expertise, expecting that new members will exercise these in their individual contributions to the Rocky Neck Art Colony. Board members will personally support to the Art Colony’s Annual Funding Goals through contributions consistent with their financial means, understanding that 100% board participation is fundamental to the success of any fundraising effort or campaign.
- In addition to financial contributions, Board Members will participate in the process and efforts of Art Colony fund raising, for example, by identifying and working with potential donors to Art Colony projects and fundraising.
- Board members will avoid conflicts of interest between or among their position as a Board Member and their personal, financial or professional life. If such a conflict arises, Board Members will so advise the Board and refrain from discussing, addressing or voting upon the matter in which the conflict exists.
- Board Members will participate in periodic workshops on the topics such as strategic planning, board self-evaluation or board development, in order to enhance their effectiveness as board members.
